Terms of Service

These Terms of Service (“Terms”) form a binding contract between you and Motor Vehicles AI, a U.S.-based company operating the marketplace and tools at motorvehiclesai.com (the “Service”). By creating an account, posting a listing, sending a message, making an offer, subscribing to a paid plan, or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Refund Policy.

If you do not agree, do not use the Service. We may update these Terms from time to time as described in section 14.

You must be at least 18 years old and able to enter into a binding contract under the laws of your state of residence. The Service is intended for use in the United States. You are responsible for all activity under your account, including any unauthorized use. You agree to provide accurate registration information and to keep your credentials secure.

We may suspend or terminate any account at our discretion, with or without notice, if we reasonably believe it has been used to violate these Terms, applicable law, or the rights of others.

Motor Vehicles AI is an online venue that allows registered users (“Sellers”) to list vehicles for sale and allows other registered users (“Buyers”) to discover, message, and make offers on those listings. We are not a party to any sale, lease, financing arrangement, or transfer of title between users. We do not own, sell, resell, broker, inspect, deliver, insure, finance, register, or guarantee any vehicle listed on the Service.

Transactions are between Buyer and Seller. You are solely responsible for inspecting the vehicle, verifying the title, paying and collecting funds, completing a bill of sale, and filing required paperwork with your state DMV. Use of our DMV form generator and bill of sale templates does not create an attorney-client relationship and does not constitute legal advice.

Content you submit to the Service — including photos, videos, listing text, VIN scans, profile information, messages, offers, reviews, voice recordings, and feedback (collectively, “User Content”) — remains yours. By submitting User Content, you grant Motor Vehicles AI a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, create derivative works of, publicly display, publicly perform, and distribute that content solely in connection with operating, promoting, and improving the Service.

You represent and warrant that:

• You own or have all rights necessary to grant this license.
• Your User Content does not infringe any third-party intellectual property, publicity, or privacy right.
• Photos, videos, and descriptions accurately depict the actual vehicle being offered for sale.
• You will not submit User Content that is unlawful, defamatory, obscene, deceptive, or harassing.

We may, but are not obligated to, review, monitor, edit, or remove User Content at any time and for any reason, including suspected violations of these Terms.

The Service uses AI models (including but not limited to large language models and computer vision models from third-party providers) to help you decode VINs, score photo quality, suggest a valuation range, draft listing descriptions, analyze video frames, parse search queries, compare vehicles, and answer questions in the AI Agent. AI outputs are estimates and assistance — not appraisals, inspections, history reports, or legal advice. You are responsible for verifying any AI-suggested price, fact, or form before relying on it. We do not guarantee that AI outputs are accurate, complete, current, or fit for any particular purpose.

Inputs you provide to AI-powered features may be transmitted to our third-party AI providers for processing. See our Privacy Policy for details.

You may not list, attempt to sell, or facilitate the transfer of any vehicle that falls into any of the following categories. We may remove non-conforming listings without notice and may suspend or terminate the responsible account:

• Stolen vehicles, vehicles with altered or removed VINs, or vehicles reported missing.
• Vehicles with undisclosed salvage, junk, rebuilt, flood-damaged, or branded titles. You must accurately disclose any title brand at the time of listing.
• Vehicles with rolled-back, tampered-with, or undisclosed-inaccurate odometer readings.
• Vehicles whose sale would violate federal, state, or local law, including emissions, safety, or import restrictions.
• Vehicles you do not own, do not have authority to sell, or are not present at the listed location.
• Vehicles subject to active liens that you cannot satisfy at the time of sale (unless the lienholder is identified in the listing and the lien will be paid from sale proceeds at closing).
• Vehicles previously totaled by an insurer that have not been properly inspected and titled as rebuilt under state law.
• Vehicles used for or modified for unlawful purposes (e.g., unregistered street-racing builds without disclosure).
• Aircraft, boats, RVs, motorcycles, or commercial vehicles that require special licensing or registration the Seller has not obtained.
• Replicas or kit cars misrepresented as the original model.

Salvage misrepresentation, odometer fraud, and selling stolen property are crimes. Suspected violations may be reported to appropriate law enforcement authorities and to the National Insurance Crime Bureau.

You agree not to:

• Use the Service for any unlawful, fraudulent, deceptive, or misleading purpose.
• Impersonate any person or entity or misrepresent your affiliation.
• Solicit users to transact off-platform in order to evade fees, policies, or trust signals (e.g., reviews, verified-sale badges).
• Use automated systems (bots, scrapers, crawlers) to access the Service except for properly tagged search-engine crawlers.
• Send spam, chain messages, phishing attempts, or unsolicited commercial messages through our messaging system or email templates.
• Interfere with or compromise the integrity, security, or performance of the Service.
• Attempt to reverse-engineer, decompile, or extract source code or training data from any AI feature.
• Use the Service to harvest personal information about other users.

Certain features are offered on a paid basis, including the Seller Pro and Dealer monthly subscription plans and one-time listing boosts (Basic, Premium, Spotlight). All payments are processed by Stripe, Inc. You authorize us, through Stripe, to charge your chosen payment method for any fees you incur, including recurring subscription fees.

Subscription terms

• Subscriptions automatically renew each month at the then-current price until you cancel.
• You may cancel a subscription at any time from your Settings page or via the Stripe Customer Portal. Cancellation stops future renewals; you keep access through the end of the current billing period.
• Refund eligibility is governed by our Refund Policy.

Boosts

Listing boosts are one-time charges that grant a paid placement benefit for a fixed period (currently 7 days). Boost benefits begin when our system activates the boost and end at the listed expiry time. Boost fees are non-refundable except as described in the Refund Policy or where required by law.

We may change pricing, plan composition, or boost benefits at any time. Price changes affect renewals and new purchases after the effective date.

The Service, including all software, design, branding, text, graphics, models, and underlying data (other than User Content), is owned by Motor Vehicles AI or its licensors and is protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. All rights not expressly granted are reserved.

Copyright complaints (DMCA)

If you believe content on the Service infringes your copyright, send a notice to contact@motorvehiclesai.com containing: (i) a physical or electronic signature of the rights owner; (ii) identification of the copyrighted work claimed to be infringed; (iii) the URL of the allegedly infringing material; (iv) your contact information; (v) a good-faith statement that the use is not authorized; and (vi) a statement, under penalty of perjury, that your notice is accurate and that you are the rights owner or authorized agent.

The Service relies on, integrates with, or links to third-party services, including Stripe (payments), Supabase (database, storage, and authentication), OpenAI (AI features), Resend (email delivery), Google (Maps and Geocoding), and the National Highway Traffic Safety Administration vPIC API (VIN decoding). We are not responsible for the content, policies, or practices of any third-party service. Your use of those services may be subject to their separate terms.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTOR VEHICLES AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that listings are accurate; that AI valuations, descriptions, comparison summaries, or video analyses are correct; that the Service will be uninterrupted or error-free; or that any vehicle sold through the Service will meet your expectations or fitness for a particular use. You bear all risk associated with inspecting vehicles, exchanging payment, and transferring title.

TO THE FULLEST EXTENT PERMITTED BY LAW, MOTOR VEHICLES AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MOTOR VEHICLES AI IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless Motor Vehicles AI and its affiliates from and against any third-party claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of or related to: (i) your User Content; (ii) your use of the Service; (iii) your sale, purchase, or attempted sale or purchase of a vehicle through the Service; (iv) your violation of these Terms or applicable law; or (v) your violation of any third-party right.

Please read this section carefully — it affects your legal rights. We hope to resolve any dispute informally. Before filing a claim, you agree to send a written description to contact@motorvehiclesai.com and to attempt good-faith negotiation for at least 30 days.

If we cannot resolve the dispute informally, you and Motor Vehicles AI agree that any controversy or claim arising out of or relating to these Terms, the Service, or any transaction between users, will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be held in the U.S. county where you reside, or by video conference at the arbitrator's discretion. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver

You and Motor Vehicles AI agree to bring claims only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, or consolidated proceeding. The arbitrator may not consolidate the claims of multiple parties and may not preside over any form of representative or class proceeding.

Small claims & opt-out

Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing contact@motorvehiclesai.com with the subject line “Arbitration Opt-Out” and your account email.

We may modify these Terms from time to time. When we make material changes we will update the “Last updated” date and provide reasonable notice through the Service or by email. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules, except where overridden by mandatory consumer-protection laws of your state of residence.

Entire agreement; severability. These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and Motor Vehicles AI regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect.

No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
